Terms of Use

These Terms of Use govern your access to and use of Veridian. By creating an account, accessing the service, or using Veridian, you agree to these terms. If you are using Veridian on behalf of a school or organization, you confirm you have authority to accept these terms on its behalf.

Educational Use

Veridian supports educators, tutors, homeschool parents, microschool guides, and other learning designers with lesson planning, instructional reflection, assessment drafting, classroom organization, exports, and related educational work.

Veridian is not intended for direct use by children or students. Adults using Veridian are responsible for deciding whether the service is appropriate for their educational setting.

Eligibility

You must be at least 18 years old and able to form a binding contract to create a Veridian account. Accounts may not be created by or for students, and you may not permit a student to use your account.

Beta Access and Product Changes

Veridian may be offered through a beta, founder beta, pilot, or limited-access program. During beta, features may change, improve, be limited, or be removed as the product develops. We may modify, suspend, or discontinue portions of the service at any time.

We do not guarantee that beta features, pricing, integrations, usage levels, export formats, or model behavior will remain the same over time.

Accounts and Teacher Responsibilities

You are responsible for your account, your login credentials, and activity that occurs under your account. You agree to provide accurate account information, to keep your credentials secure, and to notify us promptly at veridiangrove.support@gmail.com if you believe your account has been accessed without authorization.

You are responsible for ensuring that you have authority to enter classroom, student, curriculum, and instructional information into Veridian, and for complying with applicable school, district, organizational, and legal requirements, including student privacy laws that apply to you.

Student Information

If you enter information about students other than your own children, you represent that you have the authority and any consent required to do so, whether from your school, the students' families, or both. Homeschool parents entering information about their own children need no further authorization. Veridian is intended to support educational planning and instruction, not advertising, commercial profiling of students, or unrelated student-data use.

Veridian is designed to work from the instructional context you describe: how a student learns best, what supports help, and how to present material accessibly. That is the intended use of student context. Describe supports in your own words rather than uploading formal documentation — evaluation reports, medical records, disciplinary records, immigration or citizenship information, and family financial information should stay in the systems built to hold them.

This applies to files you attach to materials as well as to text you type.

Our handling of student information, including retention, deletion, subprocessors, and incident notification, is described in our Privacy Policy, which forms part of these terms.

School Agreements

If Veridian enters into a separate data processing agreement, student data privacy agreement, pilot agreement, order form, or similar written agreement with a school, district, organization, or authorized representative, that agreement controls for the covered organization and covered student data where it conflicts with these general terms.

Public beta access, founder beta access, or individual educator access does not by itself mean Veridian has been approved by any school, district, or organization for official use.

User Content

You retain ownership of the materials, prompts, feedback, curriculum content, student context, files, and other content you submit to Veridian, subject to any rights held by your school, employer, organization, or other third parties.

You grant Veridian a limited, non-exclusive license to host, store, process, transmit, display, reproduce, modify, summarize, and generate outputs from your content solely as needed to provide, secure, and support the service for you. This license does not permit us to use identifiable student information to develop or improve our products, or to train AI models. It ends when you delete the content or your account, subject to the retention periods described in our Privacy Policy.

Where we use content to analyze and improve Veridian's quality, performance, and reliability, we do so using de-identified or aggregated information that does not identify a student.

AI-Generated Content

Veridian uses artificial intelligence to generate materials, recommendations, summaries, feedback support, and classroom or student insights. AI-generated output may be incomplete, inaccurate, biased, misformatted, or inappropriate for a particular learner or classroom.

You are responsible for reviewing all AI-generated content before using it with students, families, colleagues, schools, or the public. Veridian does not replace educator judgment, and outputs should not be treated as professional, medical, psychological, or legal advice.

Student Decisions

Veridian is not intended to make decisions regarding grades, discipline, placement, eligibility, accommodations, disability status, medical needs, safety, legal rights, or other high-stakes student outcomes. Educators remain responsible for all instructional, educational, and student-related decisions, and must apply independent professional judgment.

Exports and Integrations

Veridian allows you to export materials as PDF, Word/DOCX, Canvas/QTI, and other formats. Exported materials should be reviewed before use. Formatting, compatibility, and import results may vary depending on the destination tool or platform.

Once you export content, that copy leaves Veridian's control and becomes your responsibility to handle in line with your school's policies and applicable law. If Veridian offers integrations with third-party services, those services have their own terms and privacy practices, and you are responsible for confirming you may connect them.

Subscriptions, Billing, and Cancellation

If you purchase a paid subscription, the price, billing interval, trial terms, renewal terms, and cancellation options shown at checkout or in your account apply. Subscriptions renew automatically unless canceled before the renewal date. Payments are processed by our payment processor.

Founder beta or early-access pricing, if offered, applies only under the terms shown at checkout or expressly provided in writing. Moving between the monthly and annual founder beta billing intervals does not end your founder rate: the rate for the interval you move to is the founder rate shown at checkout for that interval. Any price lock or early access benefit may otherwise end if the subscription is canceled, payment fails, access is transferred, the account is misused, the account moves to a plan outside the founder beta, or the account no longer qualifies for that offer. Fees are non-refundable except where required by law or expressly offered.

Canceling stops the next renewal rather than ending access immediately. If you cancel an annual subscription, access continues through the end of the term you have already paid for; if you cancel a monthly subscription, access continues through the end of the current monthly term.

Fair Use and Abuse Prevention

Veridian may offer unlimited or generous use for normal educator workflows. This does not permit automated scraping, bulk generation unrelated to ordinary educator use, credential sharing, resale, excessive or abusive usage, attempts to bypass limits, or use that harms the reliability of the service for others.

We may limit, suspend, or terminate access if we believe usage is abusive, unlawful, unsafe, disruptive, or inconsistent with these terms.

Acceptable Use

You agree not to use Veridian to:

  • Violate any law, regulation, school policy, contract, or third-party right.
  • Enter student or personal information without appropriate authority or consent.
  • Generate or distribute harmful, deceptive, discriminatory, harassing, or unlawful content.
  • Reverse engineer, scrape, overload, interfere with, or attempt to gain unauthorized access to Veridian.
  • Attempt to extract, reveal, or bypass system prompts, hidden instructions, private student context, memory records, retrieval data, security controls, or other non-public parts of Veridian.
  • Access, infer, expose, or manipulate another user's account, classroom, student data, files, materials, or billing information.
  • Share accounts, resell access, or use Veridian as part of an unauthorized automated service.
  • Use Veridian for student surveillance, commercial profiling, psychological profiling, medical determinations, disciplinary determinations, disability determinations, eligibility decisions, or other high-stakes outcomes without independent human review, institutional authorization, and legally required procedures.

Veridian Intellectual Property

Veridian, including its software, interface, design, branding, workflows, and underlying technology, is owned by Veridian or its operators and licensors. These terms do not grant you ownership of Veridian or the right to copy, resell, or reproduce the service outside the permitted use of your account.

If you send us feedback or suggestions, we may use them to improve Veridian without obligation to you. Feedback should not include student information.

Your Indemnity

You agree to indemnify and hold harmless Veridian and its operators, affiliates, and licensors from claims, damages, liabilities, and reasonable legal costs arising from your entry of student or personal information into Veridian without appropriate authority or consent, your violation of these terms or applicable law, or your use of AI-generated content without the review these terms require. We will notify you of any such claim and you may control its defense with counsel reasonably acceptable to us.

Privacy

Your use of Veridian is also governed by our Privacy Policy, which explains how information is collected, used, processed, retained, and deleted, and which providers process it. The Privacy Policy is incorporated into these terms.

Availability

Veridian is provided on an evolving basis. We may modify, improve, suspend, restrict, or discontinue portions of the service at any time. We do not guarantee uninterrupted, error-free, or permanent availability, and we do not offer a service level commitment except where one is stated in a signed agreement.

Disclaimers

Veridian is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and you may have additional rights.

Limitation of Liability

To the maximum extent permitted by law, Veridian and its operators, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or substitute services arising from or related to your use of Veridian.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to Veridian will not exceed the greater of the amount you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred United States dollars.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, willful misconduct, or gross negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Termination

You may stop using Veridian at any time and may request deletion of your account and associated data as described in our Privacy Policy. We may suspend or terminate access if we believe you have violated these terms, created risk for the service or other users, failed to pay fees, or used Veridian in a way that is unlawful, unsafe, or abusive.

On termination, your right to use Veridian ends. Sections relating to user content ownership, intellectual property, indemnity, disclaimers, limitation of liability, and governing law survive.

Governing Law and Disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute arising from or relating to these terms or Veridian will be brought exclusively in the state or federal courts located in Florida, and you and Veridian consent to the jurisdiction of those courts.

Before filing a claim, you agree to contact us at veridiangrove.support@gmail.com and attempt to resolve the dispute informally for at least thirty days. Where a signed agreement with a school or organization specifies different governing law or venue, that agreement controls for that organization.

General Terms

  • Entire agreement: these terms and the Privacy Policy are the entire agreement between you and Veridian regarding the service, except where a signed agreement applies.
  • Severability: if any provision is held unenforceable, the remaining provisions stay in effect and the unenforceable provision is modified to the minimum extent needed.
  • No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment: you may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, subject to the commitments in our Privacy Policy.
  • Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices: we may provide notice by email to the address on your account or by posting in the service.

Changes to These Terms

We may update these terms as Veridian develops. If we make material changes, we will update the date above and provide notice to account holders before the change takes effect. Continued use of Veridian after updated terms take effect means you accept them. If you do not accept them, you may stop using Veridian and request deletion of your data.
