Terms of Use

Veridian supports educators, tutors, homeschool parents, microschool guides, and other learning designers with lesson planning, instructional reflection, assessment drafting, classroom organization, exports, and related educational work.

Veridian is not intended for direct use by children or students. Adults using Veridian are responsible for deciding whether the service is appropriate for their educational setting.

You must be at least 18 years old and able to form a binding contract to create a Veridian account. Accounts may not be created by or for students, and you may not permit a student to use your account.

Veridian may be offered through an early-access, pilot, or limited-access program. Veridian is under active development: features may change, improve, be limited, or be removed as the product develops. We may modify, suspend, or discontinue portions of the service at any time.

We do not guarantee that features, pricing, integrations, usage levels, export formats, or model behavior will remain the same over time.

You are responsible for your account, your login credentials, and activity that occurs under your account. You agree to provide accurate account information, to keep your credentials secure, and to notify us promptly at support@veridiangrove.ai if you believe your account has been accessed without authorization.

You are responsible for ensuring that you have authority to enter classroom, student, curriculum, and instructional information into Veridian, and for complying with applicable school, district, organizational, and legal requirements, including student privacy laws that apply to you.

If you enter information about students other than your own children, you represent that you have the authority and any consent required to do so, whether from your school, the students' families, or both. Homeschool parents entering information about their own children need no further authorization. Veridian is intended to support educational planning and instruction, not advertising, commercial profiling of students, or unrelated student-data use.

Veridian is designed to work from the instructional context you describe: how a student learns best, what supports help, and how to present material accessibly. That is the intended use of student context. Describe supports in your own words rather than uploading formal documentation — evaluation reports, medical records, disciplinary records, immigration or citizenship information, and family financial information should stay in the systems built to hold them.

This applies to files you attach to materials as well as to text you type.

Before you share a material, Veridian de-identifies student names by default and asks you to review the result. If you deliberately keep a student's real name in a shared material, you represent that you have the authority and any consent required to disclose it. Do not rely on de-identification as a substitute for keeping the formal records described above out of your materials.

Our handling of student information, including retention, deletion, subprocessors, and incident notification, is described in our Privacy Policy, which forms part of these terms.

If Veridian enters into a separate data processing agreement, student data privacy agreement, pilot agreement, order form, or similar written agreement with a school, district, organization, or authorized representative, that agreement controls for the covered organization and covered student data where it conflicts with these general terms.

Early access, individual educator access, or any other form of access does not by itself mean Veridian has been approved by any school, district, or organization for official use.

You retain ownership of the materials, prompts, feedback, curriculum content, student context, files, and other content you submit to Veridian, subject to any rights held by your school, employer, organization, or other third parties.

You grant Veridian a limited, non-exclusive license to host, store, process, transmit, display, reproduce, modify, summarize, and generate outputs from your content solely as needed to provide, secure, and support the service for you. This license does not permit us to use identifiable student information to develop or improve our products, or to train AI models. It ends when you delete the content or your account, subject to the retention periods described in our Privacy Policy.

Where we use content to analyze and improve Veridian's quality, performance, and reliability, we do so using de-identified or aggregated information that does not identify a student.

When you choose to share a material (see "Sharing Materials"), you grant the additional licenses described there: to Veridian, to deliver the shared copy; and to the educator who receives it, to use and adapt it. Those licenses continue for a copy an educator has received even after you delete your original material or your account.

Veridian lets you share a material you create directly with another educator you choose. Sharing is always your choice; nothing you create is shared unless you choose to share it.

Before a material is shared, Veridian removes student names, your name, and your class name that appear on your class roster and replaces them with neutral placeholders, and asks you to review the result. This de-identification is a tool to assist you, not a guarantee: it works from your class roster and may not catch every name — for example, a name that is not on your roster, a name inside a file you attached, or a name you chose to keep. Your review before sharing determines what is shared. You may deliberately keep a specific name in place. If you keep a real name, or share information that has not been de-identified, you represent that you have the authority and any consent required to disclose it. You are responsible for what a material contains at the moment you share it.

When you share a material, the educator you share it with receives their own separate copy that they may view and adapt. Because their copy is independent of your original, editing or deleting your original material does not remove the copy they already received. You may contact us to request removal of a material you shared; we cannot recall a copy an educator has already received into their own account.

When you share a material, you grant Veridian and the educator you share it with a worldwide, non-exclusive, royalty-free license to access, store, display, reproduce, adapt, and create derivative works from that material for their own educational use, and for Veridian to deliver it to them. You represent that you have the rights to share it, that it does not infringe anyone's rights, and that it does not disclose confidential, personal, or student information you are not authorized to disclose.

A material another educator shares with you was created by that educator, not by Veridian. We do not review, endorse, or guarantee it. Review it before using it with students, families, or colleagues, as you would any other draft.

Veridian uses artificial intelligence to generate materials, recommendations, summaries, feedback support, and classroom or student insights. AI-generated output may be incomplete, inaccurate, biased, misformatted, or inappropriate for a particular learner or classroom.

You are responsible for reviewing all AI-generated content before using it with students, families, colleagues, schools, or the public. Veridian does not replace educator judgment, and outputs should not be treated as professional, medical, psychological, or legal advice.

Veridian is not intended to make decisions regarding grades, discipline, placement, eligibility, accommodations, disability status, medical needs, safety, legal rights, or other high-stakes student outcomes. Educators remain responsible for all instructional, educational, and student-related decisions, and must apply independent professional judgment.

Veridian allows you to export materials as PDF, Word/DOCX, Canvas/QTI, and other formats. Exported materials should be reviewed before use. Formatting, compatibility, and import results may vary depending on the destination tool or platform.

Once you export content, that copy leaves Veridian's control and becomes your responsibility to handle in line with your school's policies and applicable law. If Veridian offers integrations with third-party services, those services have their own terms and privacy practices, and you are responsible for confirming you may connect them.

If you purchase a paid subscription, the price, billing interval, trial terms, renewal terms, and cancellation options shown at checkout or in your account apply. Subscriptions renew automatically unless canceled before the renewal date. Payments are processed by our payment processor.

Early-access pricing, if offered, applies only under the terms shown at checkout or expressly provided in writing. The price you subscribe at stays with that subscription for as long as it remains active, even if the price rises for new subscribers. Moving between the monthly and annual billing intervals does not end that price lock: the rate for the interval you move to is the early-access rate shown at checkout for that interval. Any price lock or early-access benefit may otherwise end if the subscription is canceled, payment fails, access is transferred, the account is misused, the account moves to a different plan, or the account no longer qualifies for that offer. Fees are non-refundable except where required by law or expressly offered.

Canceling stops the next renewal rather than ending access immediately. If you cancel an annual subscription, access continues through the end of the term you have already paid for; if you cancel a monthly subscription, access continues through the end of the current monthly term. You may delete your account at any time from within Veridian, which cancels your subscription and removes your data as described in our Privacy Policy.

Each plan includes a monthly allowance of AI usage intended to be generous for typical educator use. AI-assisted creation and editing draw from this allowance; if you reach it, those actions pause until the allowance resets on your billing date or you add usage credits. The size of the allowance and which actions count toward it may change as the product develops, as described in Early Access and Product Changes.

Veridian may let you purchase usage credits — a prepaid balance, denominated in your account currency, that you can spend on AI usage beyond your monthly allowance or apply toward an upcoming invoice. Usage credits are an optional convenience, not a separate service.

Purchases of usage credits are processed by our payment processor, are added to your balance when the payment succeeds, and do not expire. Except where required by law, usage-credit purchases are non-refundable; unused credits have no cash value and are not redeemable for cash. Credits earned through referrals or promotions are subject to the terms below, and any credit may be adjusted or removed if the transaction that produced it is refunded, reversed, or found to be fraudulent.

Veridian may offer a referral program and promotional codes. Where offered, a referral or promotional code may give a new subscriber a discount on their first paid term under the terms shown at checkout. Where a referral program is offered, the referring account may earn account credit when the person they referred completes their first successful payment — not at sign-up.

Referral rewards and promotional discounts are offered at our discretion and may be limited, changed, or discontinued at any time. We may withhold, reverse, or void a discount or reward, and adjust the associated balance, where we reasonably believe a referral or promotion has been abused — for example self-referral, duplicate or fraudulent accounts, payments later refunded or reversed, or other circumvention of these terms. Referral rewards and promotional credits have no cash value.

Each plan includes a monthly usage allowance intended to be generous for normal educator workflows. Fair use does not permit automated scraping, bulk generation unrelated to ordinary educator use, credential sharing, resale, excessive or abusive usage, attempts to bypass limits, or use that harms the reliability of the service for others.

We may limit, suspend, or terminate access if we believe usage is abusive, unlawful, unsafe, disruptive, or inconsistent with these terms.

You agree not to use Veridian to:

• • Violate any law, regulation, school policy, contract, or third-party right.
• • Enter student or personal information without appropriate authority or consent.
• • Generate or distribute harmful, deceptive, discriminatory, harassing, or unlawful content.
• • Reverse engineer, scrape, overload, interfere with, or attempt to gain unauthorized access to Veridian.
• • Attempt to extract, reveal, or bypass system prompts, hidden instructions, private student context, memory records, retrieval data, security controls, or other non-public parts of Veridian.
• • Access, infer, expose, or manipulate another user's account, classroom, student data, files, materials, or billing information.
• • Share accounts, resell access, or use Veridian as part of an unauthorized automated service.
• • Use Veridian for student surveillance, commercial profiling, psychological profiling, medical determinations, disciplinary determinations, disability determinations, eligibility decisions, or other high-stakes outcomes without independent human review, institutional authorization, and legally required procedures.
• • Share materials that infringe intellectual property, disclose confidential or unauthorized personal or student information, or are inappropriate for a professional educator audience.
• • Attempt to re-identify any student, teacher, or class from a material another educator has shared with you.

Veridian, including its software, interface, design, branding, workflows, and underlying technology, is owned by Veridian or its operators and licensors. These terms do not grant you ownership of Veridian or the right to copy, resell, or reproduce the service outside the permitted use of your account.

If you send us feedback or suggestions, we may use them to improve Veridian without obligation to you. Feedback should not include student information.

You agree to indemnify and hold harmless Veridian and its operators, affiliates, and licensors from claims, damages, liabilities, and reasonable legal costs arising from your entry of student or personal information into Veridian without appropriate authority or consent, your sharing of materials (including any claim that shared content infringes rights or was shared without authorization), your violation of these terms or applicable law, or your use of AI-generated content without the review these terms require. We will notify you of any such claim and you may control its defense with counsel reasonably acceptable to us.

Your use of Veridian is also governed by our Privacy Policy, which explains how information is collected, used, processed, retained, and deleted, and which providers process it. The Privacy Policy is incorporated into these terms.

Veridian is provided on an evolving basis. We may modify, improve, suspend, restrict, or discontinue portions of the service at any time. We do not guarantee uninterrupted, error-free, or permanent availability, and we do not offer a service level commitment except where one is stated in a signed agreement.

Veridian is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and you may have additional rights.

To the maximum extent permitted by law, Veridian and its operators, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or substitute services arising from or related to your use of Veridian.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to Veridian will not exceed the greater of the amount you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred United States dollars.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, willful misconduct, or gross negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You may stop using Veridian at any time and may request deletion of your account and associated data as described in our Privacy Policy. We may suspend or terminate access if we believe you have violated these terms, created risk for the service or other users, failed to pay fees, or used Veridian in a way that is unlawful, unsafe, or abusive.

On termination, your right to use Veridian ends. Sections relating to user content ownership, intellectual property, indemnity, disclaimers, limitation of liability, and governing law survive.

These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute arising from or relating to these terms or Veridian will be brought exclusively in the state or federal courts located in Florida, and you and Veridian consent to the jurisdiction of those courts.

Before filing a claim, you agree to contact us at support@veridiangrove.ai and attempt to resolve the dispute informally for at least thirty days. Where a signed agreement with a school or organization specifies different governing law or venue, that agreement controls for that organization.

• • Entire agreement: these terms and the Privacy Policy are the entire agreement between you and Veridian regarding the service, except where a signed agreement applies.
• • Severability: if any provision is held unenforceable, the remaining provisions stay in effect and the unenforceable provision is modified to the minimum extent needed.
• • No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
• • Assignment: you may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, subject to the commitments in our Privacy Policy.
• • Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
• • Notices: we may provide notice by email to the address on your account or by posting in the service.

We may update these terms as Veridian develops. If we make material changes, we will update the date above and provide notice within the app, such as a notice the next time you sign in, before the change takes effect. Continued use of Veridian after updated terms take effect means you accept them. If you do not accept them, you may stop using Veridian and request deletion of your data.
